“Company,” “We,” “Us,” “Our”: Refers to SUPPLY CHAINPRO CARRIERS GROUP INC. (SUPPLYCARRIERS), and its operations.

“Site”: Refers to https://supplycarriers.com and all associated web pages and general online interfaces.

“General System/Platform”: Refers to the common technological infrastructure and functionalities provided by SUPPLYCARRIERS accessible to all users (e.g., website navigation, general BRP display, account management for all tiers).

“Service” or “Services”: Refers broadly to the logistics solutions, community-building initiatives, BRP program, and related offerings provided by SUPPLYCARRIERS through its ecosystem.

“User,” “You,” “Your”: Refers to any individual or entity accessing or using the Site or any general aspect of the Service.

“Bayanihan Rewards Points (BRP)”: The virtual currency within the ecosystem, as defined in our Glossary.

“Virtual Wallet”: The digital account where BRP are stored and managed.

“Participant(s)”: Refers to specific roles within the Bayanihan Ecosystem, each governed by these General Terms and their respective Specialized Terms & Conditions (e.g., CRCs, TLPs, DHTs, ABCs, Cargo Customers, Factoring Partners, Strategic Service & Supply Partners).

3.1 Eligibility: By accessing or using the Site or General System, you represent that you are at least 18 years of age and capable of forming a binding contract, or accessing under the supervision of a parent or legal guardian who agrees to these terms.

3.2 User Accounts: If you create an account, you are responsible for maintaining the confidentiality of your account details and password. You agree to accept responsibility for all activities that occur under your account or password. You must provide accurate, complete, and current information.

3.3 Prohibited Conduct: Users agree not to engage in any unlawful, fraudulent, abusive, harassing, defamatory, or disruptive activities on the Site or General System. This includes, but is not limited to, unauthorized access, data mining, spamming, or any activity that may harm SUPPLYCARRIERS or its users.

3.4 Intellectual Property: All content, designs, logos, trademarks, data, software, and other intellectual property on the Site and within the General System are the exclusive property of SUPPLYCARRIERS or its licensors. Users may not use, reproduce, modify, distribute, or create derivative works from any content without express written permission.

3.5 Content You Provide: Any content you submit to the Site (e.g., reviews, comments, feedback) grants SUPPLYCARRIERS a non-exclusive, royalty-free, worldwide, perpetual license to use, modify, publish, and distribute such content. You represent that you have the right to grant such a license.

4.1 BRP Earning & Value: BRP are earned through participation in specific activities and contributions to the SUPPLYCARRIERS ecosystem. The current value is 1 BRP = ₱1.00. Specific earning methods and their BRP value will be detailed within your respective Specialized Terms & Conditions and on relevant sections of the Site.

BRP Usage: BRP can be used for specified benefits within the ecosystem, including membership upgrades and discounts on services from Strategic Service & Supply Partners, as outlined by SUPPLYCARRIERS. BRP cannot be directly converted to cash or exchanged for real currency outside of defined redemption programs or specific features within the BRP Virtual Wallet.

Virtual Wallet: Your BRP balance is stored in a digital Virtual Wallet accessible via your account. SUPPLYCARRIERS is responsible for maintaining accurate records of BRP balances.

Forfeiture: BRP may be forfeited or revoked in cases of fraudulent activity, violation of these General Terms or relevant Specialized Terms, account termination, or inactivity as defined by SUPPLYCARRIERS’ policy.

System Adjustments: SUPPLYCARRIERS reserves the right to modify, suspend, or terminate the BRP program, its rules, earning rates, or redemption options at any time, with reasonable notice where feasible.

5.1 Privacy Policy: Your use of the Site and Services is also governed by our Privacy Policy, which details how we collect, use, process, and protect your personal information. By agreeing to these General Terms, you also agree to our Privacy Policy.

5.2 Disclaimer: The information provided on our Site is for general informational purposes only and is subject to our Disclaimer. By agreeing to these General Terms, you acknowledge and agree to the terms of our Disclaimer.

6.1 Limitation of Liability: Under no circumstance shall SUPPLYCARRIERS, its directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Site or General System; (ii) any conduct or content of any third party on the Site or General System; (iii) any content obtained from the Site or General System; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

6.2 Indemnification: You agree to indemnify and hold harmless SUPPLYCARRIERS, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorney’s fees and costs, arising out of or in any way connected with your access to or use of the Site or General System, your violation of these General Terms, or your violation of any rights of another.

7.1 Governing Law: These General Terms shall be governed and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

Dispute Resolution: In the event of any dispute arising from or relating to these General Terms, the parties shall first attempt to resolve it amicably through good faith negotiations. If unable to resolve, further steps for dispute resolution will be guided by the more specific provisions in any applicable Specialized Terms & Conditions you have agreed to, or by general Philippine legal remedies.

We reserve the right, at our sole discretion, to modify or replace these General Terms at any time. If a revision is material, we will provide at least [e.g., 30 days’] notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site or General System after any revisions become effective, you agree to be bound by the revised terms.

9.1 Entire Agreement: These General Terms, along with the Privacy Policy and Disclaimer, constitute the entire agreement between you and SUPPLYCARRIERS concerning your general use of the Site and General System.

9.2 Severability: If any provision of these General Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

9.3 Waiver: No waiver of any term of these General Terms shall be deemed a further or continuing waiver of such term or any other term.
